1. Parties

These Terms and Conditions ("Terms") constitute a legally binding agreement between Maegham Info Tech Pvt Ltd. ("Company", "we", "us", or "our"), registered at M1/70-B, Mullai Nagar, Aranmanaipudhur, Theni – 625531, Tamil Nadu, India (GST: 33AARCM1420G1ZQ), and you ("User", "you") — the gym owner, staff member, or member accessing the GymSketch platform at gymsketch.com.

2. Description of Service

GymSketch is a cloud-based Software-as-a-Service (SaaS) gym management platform that enables gym owners and their staff to:

• Manage gym members, subscriptions, and attendance
• Process billing and generate invoices
• Manage staff roles and permissions
• Send automated notifications via email and WhatsApp
• Access reports and analytics

We reserve the right to modify, suspend, or discontinue any feature of the service at any time with reasonable notice.

3. Account Registration

To use GymSketch, gym owners must register an account. You agree to:

• Provide accurate and complete information during registration
• Maintain the confidentiality of your account credentials
• Notify us immediately at info@gymsketch.com of any unauthorised access to your account
• Take full responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

4. Subscription and Payment

4.1 Pricing Plans

GymSketch offers subscription plans as listed on the platform. Pricing is subject to change with 30 days' advance notice to active subscribers.

4.2 Billing

Subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase. Payments are processed through Razorpay, a secure and PCI-DSS compliant payment gateway. By subscribing, you authorise us to charge your selected payment method on a recurring basis.

4.3 Taxes

All prices are exclusive of applicable taxes including GST. Taxes will be added to your invoice as required by Indian law.

4.4 Failed Payments

If a payment fails, we will attempt to notify you. Continued failure to pay may result in suspension or termination of your account. You are responsible for maintaining valid payment information.

5. Acceptable Use

You agree not to use GymSketch to:

• Violate any applicable laws or regulations
• Upload or transmit malicious code, spam, or harmful content
• Attempt to gain unauthorised access to other accounts or system components
• Reverse-engineer, decompile, or copy any part of the platform
• Misrepresent your identity or affiliation
• Use the platform for any purpose other than legitimate gym management

Violation of this section may result in immediate account suspension without refund.

6. Data Ownership

You retain ownership of all data you enter into GymSketch, including member records, billing data, and attendance logs. You grant us a limited licence to store and process this data solely to provide the service. See our Privacy Policy for details on how we handle your data.

7. Intellectual Property

All software, design, code, trademarks, and content constituting the GymSketch platform are the exclusive property of Maegham Info Tech Pvt Ltd. Nothing in these Terms transfers any intellectual property rights to you. You may not copy, reproduce, distribute, or create derivative works from any part of the platform without prior written consent.

8. Third-Party Integrations

GymSketch integrates with third-party services including Razorpay (payments) and WhatsApp Business API (notifications). Your use of these integrations is also subject to the respective third-party terms and privacy policies. We are not responsible for the availability or accuracy of third-party services.

9. Limitation of Liability

To the maximum extent permitted by applicable law, Maegham Info Tech Pvt Ltd. shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of data, profits, or business opportunities
• Service interruptions or downtime beyond our control
• Actions or omissions of third-party providers (Razorpay, etc.)

Our total liability to you for any claim shall not exceed the amount paid by you for the service in the three months preceding the claim.

10. Disclaimer of Warranties

GymSketch is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure, although we make reasonable efforts to ensure platform reliability and security.

11. Termination

You may cancel your subscription at any time through your account settings or by contacting us at info@gymsketch.com. Cancellation takes effect at the end of the current billing period. See our Refund Policy for details on refunds.

We may terminate your account immediately if you breach these Terms, engage in illegal activity, or fail to pay outstanding amounts.

12. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts located in Theni, Tamil Nadu, India. We encourage resolving disputes amicably — please contact us first at info@gymsketch.com.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify active subscribers by email and update the "Last Updated" date above. Continued use of the platform after changes constitutes your acceptance of the revised Terms.
